In order to give a permanent character to the undertaking, and to prevent any liability to subscribers beyond the amount of their individual subscriptions, the Associa tion was registered under the Company's Act, and the freehold and other property is vefted in Governors, each of whom subscribe at least one hundred pounds. Each governorship is permanent, and may be transferred by deed or will. This enfures a perpetual body, who will act as trustees to the general body of subscribers. The number of Governors is limited to 100. They number at prefent 30, and an infpection of the lift will show that they are a guarantee that the management will be carried on in a bufinefs-like and honourable manner. It is earnestly hoped that at least twenty additional subscribers of £100 will come forward, making up the number to fifty; and it is suggested that Corporations, Guilds, or Societies might appropriately fubfcribe and become Governors, thus having, through their prefiding officer, a permanent voice in the management of the Affociation.

Of course it is only anticipated that comparatively few are at the fame time warmly interested in the objects aimed at by the Affociation, and also able to fubfcribe fo large a fum as £100, but it is confidently anticipated that there are many thousands willing to fubfcribe smaller amounts if they are satisfied that their subscriptions will be properly applied, and it is to fuch that the Council have now to appeal.

Every fubfcription, however small, will be glady received and acknowledged by the Secretary. Subfcriptions of £1 and upwards will be inferted in the lifts published

from time to time, and in the permanent record to be kept in the library of the Affociation.

The first 200 fubfcribers of ten guineas and upwards will be entitled to receive a proof, and the firft 700 fubscribers of five guineas, an engraving of the celebrated Gainsborough Portrait of Garrick, belonging to the Corporation of Stratford, who have given permiffion to have it engraved for the Affociation. One hundred proofs on India paper will be referved for Governors. After the above number of impreffions have been taken, the plate will be defaced, and deposited in the library of the Affociation, thus ensuring that the engravings shall poffefs a permanent and increasing value.

The Council are defirous not to expend any of the amount fubfcribed in advertising-an expense which often makes serious inroads on the fums appearing in fubfcription lifts. The amounts fubfcribed are immediately invested (until required), and the intereft is all that is available for advertifing; the Council, therefore, hope that all who are willing to subscribe will do fo without special appeal, and that every one who may be acquainted with and approve of the project will affift in making it known to others.

The object of the Affociation is to erect a Memorial Building upon a fite on the banks of the Avon, which has been given for that purpose.

The furrounding ground will be laid out as gardens, and the building will contain:

A small Theatre, in which to have occafional performances of Shakespeare's Plays, and which will be available for Concerts, Lectures, &c.;

A Library of Dramatic Literature;

And a Gallery, to contain Pictures and Statuary of Shakespearean fubjects.

Any funds that may be fubfcribed beyond the amount neceffary to complete and maintain the building and garden, will be applied to the Annual Celebration of Shakespeare's Birthday, the advancement and improvement of the Dramatic Art by the establishment and maintenance of a School of Acting, the delivery of Lectures, the establishment of Prizes for Essays, and the relief and affistance of poor and deferving members of the theatrical profeffion, as fet forth in the certificated Memorandum of Affociation.

The property and management is vefted in Governors, all of whom subscribe at least £100.

It is estimated that £10,000 will be required for building the whole, but without any of the ftone carving or decorative features which may be added at a future time. The amount already fubfcribed and guaranteed, £6000, has enabled the Council to commence upon the

Theatre. The foundations are being proceeded with, and the firft ftone will be laid on the 23rd of April next. An additional fum of £4000 is required before the Library and Picture Gallery can be begun.

Subscriptions can be paid to the "Shakespeare Memorial Fund," OLD BANK, Stratford-upon-Avon, or to any member of the Council.

A report of the meeting of the Governors, held on April 24th, with any further information required, will be forwarded on application to the Secretary.
